RCS Messaging Terms of Service for Zennify Inc.

Effective Date: April 1, 2025

1. Introduction

This Terms of Service agreement (the “Agreement”) is entered into by and between Zennify Inc. (“Zennify”, “we”, “us”, or “our”) and you (“User”, “you”, or “your”). This Agreement governs your use of the services provided by Zennify for RCS messaging services. By engaging with our services, you agree to be bound by this Agreement.

2. Services Provided

Our RCS messaging services enable businesses to send rich, interactive messages to users via the RCS protocol. These services are subject to the terms outlined in this Agreement.

3. User Obligations

As a User of Zennify’s services, you agree to:

• Provide accurate and complete information when engaging with our services.
• Comply with all applicable laws and regulations.
• Obtain necessary consents from end-users for RCS messaging, as detailed in the RCS Messaging section.
• Not use our services for any unlawful or prohibited activities.

4. Intellectual Property

All intellectual property rights in the software, solutions, and services provided by Zennify are owned by Zennify or its licensors. Upon full payment, Zennify grants you a non-exclusive, non-transferable license to use the deliverables as specified in the project agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation survives the termination of this Agreement.

7. Limitation of Liability

To the maximum extent permitted by law, Zennify shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.

10. RCS Messaging

Zennify’s RCS messaging services allow businesses to send branded, interactive messages to users. When using these services, you agree to:

• Obtain explicit consent from users before sending RCS messages. Consent must be clear, informed, and documented.
• Provide users with a straightforward way to opt out of receiving RCS messages, such as replying with “STOP” or through a settings menu.
• Ensure that all RCS messages comply with applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA) and the General Data Protection Regulation (GDPR).

Zennify’s RCS messaging services include the development and integration of RCS capabilities into your applications or platforms. This may involve setting up branded sender profiles, creating rich media messages, and managing user interactions. You are responsible for ensuring that your use of RCS messaging complies with all applicable laws and regulations, including obtaining necessary consents and providing opt-out mechanisms.

11. Data Usage and Privacy

In providing RCS messaging services, Zennify may collect and process user data, including phone numbers and message content. This data is used solely for the purpose of delivering the messaging services and is handled in accordance with our Privacy Policy. You are responsible for ensuring that your use of RCS messaging complies with all data protection laws and that you have the necessary permissions to share user data with Zennify.

13. Changes to This Agreement

Zennify reserves the right to modify this Agreement at any time. We will provide notice of changes by posting the updated Agreement on our website. Your continued use of our services after such changes constitutes your acceptance of the new terms.
